It is important that you read the entirety of and understand this document. There are, however, a few key points that we need to emphasise:

NO ACCESS TO EMERGENCY SERVICES: FregaRooms is not a replacement for your ordinary mobile or fixed line telephone. Our One to One calling does not allow you to make emergency calls to emergency services. You must make alternative communications arrangements to ensure that you can make emergency calls if needed.

CHECK RESTRICTIONS ON USE: In some countries there are restrictions on the use of the Software. It is your responsibility to ensure that you are legally allowed to use our Applications where you are located.

1. ACCEPTANCE OF THE TERMS AND CONDITIONS

1.1 In order to use Frega Products and/or Frega Websites you must first accept these Terms and Conditions. These Terms and Conditions are accepted by you (a) when you click to accept or agree to the Terms and Conditions; or (b) when you download and/or use the Software, Products and/or Frega Websites. We advise you to print a copy of these Terms and Conditions for your records. These Terms and Conditions remain effective from the date of acceptance until terminated by you or Frega in accordance with paragraph 6.

1.2 You cannot accept these Terms and Conditions if: (a) you are not lawfully entitled to use the Products and/or Frega Websites in the country in which you are located or reside or (b) if you are not of legal age to form a binding agreement with Frega.

1.3 In some countries the Products may be provided to you by Frega's local partner. If so, that local partner may ask you to accept its own terms and Conditions of service ("local Terms and Conditions"). If there is any inconsistency between those local Terms and Conditions and these Terms and Conditions, then the local Terms and Conditions shall govern to the extent of that inconsistency.

2. CHANGES TO THE TERMS AND CONDITIONS

2.1 Frega may make changes to these Terms and Conditions from time to time. Frega is under no obligation to notify you of any changes to these terms that result in minor adjustments or corrections to the terms. For all other changes Frega will publish the changes at https://technicalupdates.weblet.me/hub/ Changes to the fair usage policies and/or Additional Terms and Conditions will be posted on the applicable Frega Website. The changes will be effective when published. Please review the Terms and Conditions on a regular basis. You understand and agree that your express acceptance of the Terms and Conditions for your use of the Software, Products and/or Frega Websites after the date of publication shall constitute your agreement to the updated Terms and Conditions. If you do not agree with the amended Terms and Conditions, you may terminate your relationship with Frega in accordance with paragraph 6 below.

3. USE OF THE SOFTWARE AND PRODUCTS AND FREGA WEBSITES/WEBLETS

3.1 Equipment: In order to use the Software and the Products you will need an Internet broadband connection. You are responsible for providing all equipment required to access the Internet or enable communications such as headsets, microphones and webcams.

3.2 Use of Your Equipment: The Internet Communications Software may use the processing capabilities, memory and bandwidth of the computer (or other applicable device/s) you are using, for the limited purpose of facilitating the communication and establishing the connection between Internet Communications Software users. If your use of the Internet Communications Software is dependent upon the use of a processor and bandwidth owned or controlled by a third party, you acknowledge and agree that your licence to use the Internet Communications Software is subject to you obtaining consent from the relevant third party for such use. You represent and warrant that by accepting these Terms and Conditions, you have obtained such consent.

3.3 Technical improvement and maintenance: From time to time, Frega may need to perform maintenance on or upgrade the Software, Products or Frega Websites or the underlying infrastructure that enables you to use the Software, Products or Frega Websites. This may require Frega to temporarily suspend or limit your use of some or all of the Software, Products or Frega Websites until such time as this maintenance and/or upgrade can be completed. To the extent possible and unless an intervention is urgently required, Frega will publish the time and date of such suspension or limitation on the Frega Website in advance. You will not be entitled to claim damages for such suspension or limitation of the use of any Software, Product or Frega Website.

3.4 Content of Communications: Frega is not the source of, does not verify or endorse and takes no responsibility for the content of communications made using the Software. By using the Software, you agree that any content that you submit may be transmitted to the recipient of your communication. The content of communications is entirely the responsibility of the person from whom such content originated. You therefore may be exposed to content that is offensive, unlawful, harmful to minors, obscene, indecent or otherwise objectionable. The content of communications may be protected by intellectual property rights, which are owned by third parties. You are responsible for the content you choose to communicate and access using the Software.

3.5 Notice and Take-Down: If Frega receives any notification that any material that you post, upload, edit, host, share and/or publish on the Frega Website or through the Software (excluding your private communications) ("User Submission") is inappropriate, infringes any rights of any third party, or if Frega wishes to remove your User Submission for any reason whatsoever, Frega reserves the right to automatically remove such User Submission for any reason immediately or within such other timescales as may be decided from time to time by Frega in its sole discretion.

3.5.1 Temporary/Disposable Email Addresses: To maintain a transparent and secure environment, we do not permit the use of temporary or disposable email addresses on our platform. These email addresses undermine our commitment to authenticity and accountability, and therefore, accounts found using them will be terminated.

3.6 Quality: Frega cannot guarantee that the Products or Frega Websites will always function without disruptions, delay or errors. A number of factors may impact the quality of your communications and use of the Products (depending on the Products used) or Frega Websites, and may result in the failure of your communications including, but not limited to: your local network, firewall, your internet service provider, the public internet, the public switched telephone network and your power supply. Frega takes no responsibility for any disruption, interruption or delay caused by any failure of or inadequacy in any of these items or any other items over which we have no control.

3.7 Changes to Products: Frega does not hold ownership of any software or products and operates exclusively in the capacity of an agent/marketplace in hosting the software and products with the terms and conditions technical features of the software and products changed from time to time by the owners of the software and products.

3.8 Unsolicited Ideas: Frega welcomes any feedback and or ideas for new applications with Frega fully authorised to share such ideas and suggestions with software and product developers but in so sharing no personal, identifiable information of the source of the suggestions and feedback will be shared.

3.9 Linking: You may link to the Frega Website from another website owned by you, provided you do so in a way that is fair and legal and does not damage Frega's reputation or take advantage of it. You must not establish a link in such a way as to suggest any form of association, approval or endorsement by Frega where none exists. You may not frame the Site on any other site.

4. YOUR OBLIGATIONS

4.1 You shall ensure that any information you provide in connection with the Products and/or Frega Websites is accurate, complete and up-to-date.

4.2 You shall not use the Products and/or Frega Websites for any purpose that is unlawful or prohibited by these Terms and Conditions.

4.3 You shall not interfere with or disrupt the security, integrity or performance of the Products and/or Frega Websites.

4.4 You shall not attempt to gain unauthorized access to the Products and/or Frega Websites or their related systems or networks.

5. PROPRIETARY RIGHTS

5.1 The Products and Frega Websites, including but not limited to their design, layout, graphics, images, text, software and other materials, are the property of Frega or its licensors and are protected by copyright, trademark, patent and other intellectual property rights.

5.2 You acknowledge and agree that you acquire no ownership or rights in any of the Products or Frega Websites except for the limited right to use them in accordance with these Terms and Conditions.

5.3 You shall not remove, alter or obscure any copyright, trademark or other proprietary rights notices appearing on any of the Products or Frega Websites.

6. SUSPENSION OF ACCOUNT

6.1 Frega may suspend or terminate your access to the Products and/or Frega Websites immediately, without prior notice or liability, for any reason whatsoever, including but not limited to your breach of these Terms and Conditions.

6.2 Upon termination of your access to the Products and/or Frega Websites, your right to use the Products and/or Frega Websites will immediately cease.

6.3 The provisions of these Terms and Conditions which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

7. EXCLUSION OF WARRANTIES, LIMITATION OF LIABILITY AND INDEMNITY

7.1 To the maximum extent permitted by applicable law, the Products and Frega Websites are provided on an "as is" and "as available" basis, without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

7.2 Frega, its affiliates, licensors and service providers do not warrant that:

  • The Products and Frega Websites will be available at any particular time or location, uninterrupted or secure;
  • Any defects or errors will be corrected;
  • The Products and Frega Websites are free of viruses or other harmful components.

7.3 In no event shall Frega, its affiliates, licensors or service providers be liable for any indirect, incidental, special, punitive or consequential damages, including but not limited to loss of profits, data, use, goodwill or other intangible losses, arising out of or in connection with your access to or use of, or inability to access or use the Products and/or Frega Websites.

7.4 You agree to indemnify, defend and hold harmless Frega, its affiliates, licensors and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses or fees (including reasonable attorneys' fees) arising out of or in connection with your use of the Products and/or Frega Websites, your violation of these Terms and Conditions, or your violation of any rights of another party.

8. THIRD-PARTY WEBSITES, PRODUCTS AND SERVICES

8.1 The Products and Frega Websites may contain links to third-party websites, products and services that are not owned or controlled by Frega.

8.2 Frega has no control over, and assumes no responsibility for, the content, privacy policies, terms and conditions, or practices of any third-party websites or services.

8.3 You acknowledge and agree that Frega shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such websites or services.

8.4 We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit or use.

9. INVESTING ISN'T ALWAYS STRAIGHT FORWARD

9.1 The information provided by Frega on the Products and/or Frega Websites is for general informational purposes only and should not be construed as investment advice.

9.2 You acknowledge and agree that any investment or trading decisions you make are at your own risk and discretion, and you shall not hold Frega liable for any losses or damages resulting from such decisions.

10. YOUR CONFIDENTIAL INFORMATION AND YOUR PRIVACY

10.1 You agree that you will not disclose to any third party any confidential information you obtain in connection with the Products and/or Frega Websites without the prior written consent of Frega.

10.2 Frega respects your privacy and is committed to protecting your personal information. Our collection and use of personal information in connection with the Products and/or Frega Websites is described in our Privacy Policy, which is incorporated by reference into these Terms and Conditions.

10.3 By using the Products and/or Frega Websites, you consent to the collection, use and disclosure of your personal information as described in our Privacy Policy.

11. COMMUNITY STANDARDS & 4-PART TEST FOR REMOVAL OF POSTS

11.1 Frega is committed to maintaining a respectful and inclusive community. You agree to adhere to the community standards set forth by Frega and to comply with the 4-part test for removal of posts:

  1. Relevance: The content must be relevant to the topic or subject matter of the forum or discussion.
  2. Respect: The content must not be disrespectful, offensive, or defamatory towards any individual or group.
  3. Compliance: The content must comply with all applicable laws, regulations, and terms of service.
  4. Constructive Contribution: The content should contribute constructively to the discussion or topic at hand.

11.2 Frega reserves the right to remove any content or posts that violate these community standards or fail to meet the 4-part test, at its sole discretion.

12.1 Frega operates as a collective of independent users who come together to share information, tips, and experiences related to the use of the Products and/or Frega Websites.

12.2 As a user of the Products and/or Frega Websites, you have the opportunity to contribute to this collective by sharing your own insights, feedback, and recommendations.

12.3 Frega does not endorse or assume any responsibility for the views, opinions, or advice expressed by users of the Products and/or Frega Websites.

13. CAUSES MATCHED TO RECEIVE BRANDED REWARDS

13.1 Frega may offer branded rewards or incentives to users who contribute to specified causes or initiatives as part of their use of the Products and/or Frega Websites.

13.2 The criteria for being matched to receive branded rewards, as well as the nature and value of such rewards, will be determined by Frega in its sole discretion.

13.3 Participation in any branded rewards program is subject to these Terms and Conditions and any additional terms specified by Frega.
